LUCASH BEATS – BASIC (MP3) NON-EXCLUSIVE LICENSE AGREEMENT

IMPORTANT: By purchasing, downloading, or using this Beat, you agree to all terms below.

1. Parties

This Non-Exclusive License Agreement (“Agreement”) is entered into between:

Producer / Licensor: Lucash Beats
and
Licensee: The individual or entity purchasing this license (“You”).

2. Grant of License

Upon full payment of the license fee, Lucash Beats grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the instrumental music file (“Beat”) solely to create one (1) new song (“New Song”).

This is a license only, not a sale.

3. Files Delivered

This license includes:

• One (1) high-quality, tag-free MP3 file

This license does NOT include:

• WAV files

• Tracked-out stems

• Project files

4. Ownership

• Lucash Beats retains 100% ownership of the Beat and all underlying copyrights.

• The Licensee does not own the Beat, master recording, or composition.

• The Licensee owns only the original lyrics and vocal performance they create.

5. Permitted Uses

The New Song may be used for:

• Digital streaming on platforms such as Spotify, Apple Music, YouTube, Amazon Music, etc.

• Free downloads and promotional use

• Live performances (concerts, shows, events)

• One (1) music video uploaded online

• Inclusion in an EP or album

6. Usage Limits

Under this Basic License, the New Song is limited to:

• Up to 100,000 monetized audio streams

• Up to 50,000 monetized video streams

• Unlimited non-monetized streams

• Up to 1,000 total paid downloads

Once any limit is exceeded, the Licensee must upgrade the license before continuing distribution.

7. Restrictions

The Licensee may NOT:

• Resell, lease, sublicense, or share the Beat alone

• Claim ownership of the Beat

• Register the Beat or New Song with Content ID systems

• Sell or distribute the Beat as an instrumental

• Use the Beat for films, commercials, TV, games, or ads

• Use the Beat for radio broadcast

• Allow third parties to exploit the Beat outside this license

8. Publishing & Royalties

• Publishing is split 50% Lucash Beats / 50% Licensee

• Lucash Beats retains 50% of the writer’s and publisher’s share

• No additional royalties are owed to Lucash Beats under this license

If registering with a Performing Rights Organization (PRO), the Licensee must correctly credit Lucash Beats.

9. Credit

Credits should be given in Youtube Description and wherever producer credits field occurs, the Licensee must credit:

Produced by Lucash Beats

Failure to credit does not void the license but must be corrected upon notice.

10. License Term

This license is valid for ten (10) years from the date of purchase, unless terminated earlier due to breach.

11. Termination

Lucash Beats may terminate this license if the Licensee violates any term and fails to cure the violation within 5 business days of written notice.

Upon termination:

• All use of the New Song must stop

• The song must be removed from all platforms

12. Refunds

All sales are final and non-refundable due to the digital nature of the product.

Refunds will not be issued for:

• Incompatible style or tempo

• Creative dissatisfaction

• Failure to read license terms

13. No Warranties

The Beat is provided “as is.”
Lucash Beats makes no guarantees regarding commercial success, fitness for a particular purpose, or platform approval.

14. Limitation of Liability

Lucash Beats shall not be liable for indirect, incidental, or consequential damages arising from the use of the Beat.

15. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of Indian courts.

16. Acceptance

Payment and download of the Beat constitute full acceptance of this Agreement.
