LUCASH BEATS – HIGH QUALITY (WAV + MP3) NON-EXCLUSIVE LICENSE AGREEMENT

By purchasing, downloading, or using this Beat, you agree to all terms of this Agreement.

1. Parties

This Non-Exclusive High Quality License Agreement (“Agreement”) is entered into between:

Producer / Licensor: Lucash Beats
and
Licensee: The purchaser of this license (“You”).

2. Grant of License

Upon full payment of the license fee, Lucash Beats grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the instrumental music file (“Beat”) to create one (1) new song (“New Song”).

This Agreement grants a license only, not ownership.

3. Files Included

This High Quality License includes:

• One (1) WAV file

• One (1) tag-free MP3 file

This license does NOT include:

• Tracked-out stems

• Project/session files

4. Ownership & Copyright

• Lucash Beats retains 100% ownership of the Beat and all underlying copyrights.

• The Licensee does not own the Beat, the master recording of the Beat, or the underlying composition.

• The Licensee owns only the original lyrics and vocal performance they create for the New Song.

5. Permitted Uses

The New Song may be used for:

• Monetized digital streaming (Spotify, Apple Music, YouTube, Amazon Music, etc.)

• Free and paid digital downloads

• Live performances (concerts, festivals, clubs)

• One (1) music video uploaded online

• Inclusion in an EP or full-length album

• Promotional use on social media and websites

6. Usage Limits

Under this High Quality License, the New Song is limited to:

• Up to 250,000 monetized audio streams

• Up to 250,000 monetized video streams

• Unlimited non-monetized streams

• Unlimited free downloads

• Up to 1,000 paid downloads

If any limit is exceeded, the Licensee must upgrade to a higher license before continuing distribution.

7. Restrictions

The Licensee may NOT:

• Resell, sublicense, lease, or distribute the Beat by itself

• Claim ownership of the Beat

• Sell or distribute the Beat as an instrumental

• Register the Beat or New Song with any Content ID or fingerprinting system

• Use the Beat for films, commercials, TV shows, advertisements, games, or apps

• Allow third parties to exploit the Beat outside this Agreement

• Use the Beat in more than one (1) song

8. Content ID & Distribution Notice

Because this is a non-exclusive license, registering the Beat or New Song with Content ID systems (including YouTube Content ID or distributor-based fingerprinting) is strictly prohibited.

This restriction exists to prevent copyright conflicts with other licensed users.

Violation of this clause may result in immediate termination of the license without refund.

9. Publishing & Royalties

• Publishing is split 50% Lucash Beats / 50% Licensee

• Lucash Beats retains 50% of the writer’s share and publisher’s share

• No additional royalties are owed under this license beyond the agreed split

If registering with a Performing Rights Organization (PRO), the Licensee must correctly list Lucash Beats’ share.

10. Credit

Where credits are displayed, the New Song must include:

Produced by Lucash Beats

Failure to credit does not void the license but must be corrected upon notice.

11. License Term

This license is valid for ten (10) years from the date of purchase, unless terminated earlier due to breach.

12. Termination

Lucash Beats may terminate this Agreement if the Licensee violates any material term and fails to cure the breach within five (5) business days of written notice.

Upon termination:

• All use of the New Song must stop

• The New Song must be removed from all platforms

13. Refund Policy

All sales are final and non-refundable due to the digital nature of the product.

Refunds will not be issued for:

• Creative dissatisfaction

• Incompatibility with style or tempo

• Failure to read or understand the license

14. No Warranties

The Beat is provided “as is.”
Lucash Beats makes no guarantees regarding commercial success, chart placement, or platform approval.

15. Limitation of Liability

Lucash Beats shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Beat.

16. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of Indian courts.

17. Acceptance

Payment, download, or use of the Beat constitutes full acceptance of this Agreement.
