LUCASH BEATS – HIGH QUALITY + STEMS NON-EXCLUSIVE LICENSE AGREEMENT

IMPORTANT:
By purchasing, downloading, or using this Beat, you agree to all terms of this Agreement.

1. Parties

This Non-Exclusive High Quality + Stems License Agreement (“Agreement”) is entered into between:

Producer / Licensor: Lucash Beats
and
Licensee: The purchaser of this license (“You”).

2. Grant of License

Upon full payment, Lucash Beats grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the instrumental music file (“Beat”) to create one (1) new song (“New Song”).

This is a license, not a sale or transfer of ownership.

3. Files Included

This license includes:

• WAV file

• Tag-free MP3 file

• Full tracked-out stems

Project/session files are not included.

4. Ownership

• Lucash Beats retains 100% ownership of the Beat and underlying composition.

• The Licensee does not own the Beat, master recording of the Beat, or composition.

• The Licensee owns only their original lyrics and vocal performance used in the New Song.

5. Permitted Uses

The New Song may be used for:

• Monetized digital streaming (Spotify, Apple Music, YouTube, Amazon Music, etc.)

• Free and paid digital downloads

• Live performances (concerts, festivals, clubs)

• One (1) music video uploaded online

• Inclusion in an EP or full-length album

• Promotional use on social media and websites

6. Usage Limits

Under this license, the New Song is limited to:

• Up to 400,000 monetized audio streams

• Up to 400,000 monetized video streams

• Unlimited non-monetized streams

• Unlimited free downloads

• Up to 1,000 paid downloads

• One (1) radio station

If any limit is exceeded, the Licensee must upgrade to a higher license before continuing use.

7. Creative Rights (Stems)

• Licensee may edit, mix, arrange, and modify the Beat using the stems.

• Stems may be used only for the New Song.

• Stems may not be redistributed, resold, shared, or reused for other songs.

8. Restrictions

The Licensee may NOT:

• Resell, lease, sublicense, or share the Beat or stems

• Sell or distribute the Beat as an instrumental

• Use the Beat in more than one (1) song

• Use the Beat for films, TV, ads, games, apps, or commercials

• Allow third parties to exploit the Beat outside this license

• Claim ownership of the Beat

9. Content ID & Distribution Notice

Because this is a non-exclusive license, registering the Beat or New Song with Content ID systems (YouTube Content ID, distributor fingerprinting, etc.) is strictly prohibited.

This restriction exists to prevent copyright conflicts with other licensed users.

Violation may result in immediate termination without refund.

10. Publishing & Royalties

• Publishing is split 50% Lucash Beats / 50% Licensee

• Lucash Beats retains 50% of the writer’s share and publisher’s share

• No additional royalties are owed beyond this split

If registering with a PRO, Lucash Beats must be correctly credited.

11. Credit

Where credits are displayed, the New Song must include:

Produced by Lucash Beats

Failure to credit must be corrected upon notice.

12. License Term

This license is valid for ten (10) years from the purchase date, unless terminated earlier due to breach.

13. Termination

Lucash Beats may terminate this Agreement if the Licensee violates any term and fails to cure the breach within five (5) business days of written notice.

Upon termination:

• All use of the New Song must stop

• The New Song must be removed from all platforms

14. Refund Policy

All sales are final and non-refundable due to the digital nature of the product.

Refunds will not be issued for:

• Creative dissatisfaction

• Style or tempo mismatch

• Failure to read license terms

15. No Warranties

The Beat is provided “as is.”
Lucash Beats makes no guarantees regarding commercial success or platform approval.

16. Limitation of Liability

Lucash Beats shall not be liable for indirect, incidental, or consequential damages arising from use of the Beat.

17. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of Indian courts.

18. Acceptance

Payment, download, or use of the Beat constitutes full acceptance of this Agreement.
