LUCASH BEATS – PREMIUM QUALITY (STEMS) NON-EXCLUSIVE LICENSE AGREEMENT

By purchasing, downloading, or using this Beat, you agree to all terms below.

1. Parties

This Non-Exclusive Premium License Agreement (“Agreement”) is entered into between:

Producer / Licensor: Lucash Beats
Licensee: The purchaser of this license (“You”).

2. Grant of License

Upon full payment, Lucash Beats grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the instrumental music file (“Beat”) to create one (1) new song (“New Song”).

This is a license only, not a sale or transfer of ownership.

3. Files Included

This Premium License includes:

• High-quality WAV file

• Tag-free MP3 file

• Full tracked-out stems

Project/session files are not included.

4. Ownership & Copyright

• Lucash Beats retains 100% ownership of the Beat and underlying composition.

• The Licensee does not own the Beat, instrumental master, or composition.

• The Licensee owns only their original lyrics and vocal performance created for the New Song.

5. Creative Rights (Stems)

The Licensee may:

• Edit, mix, rearrange, and modify the Beat using the stems

• Adjust tempo, structure, and arrangement

The stems may only be used for the New Song and may not be reused, resold, shared, or redistributed.

6. Permitted Uses

The New Song may be used for:

• Monetized streaming on all major platforms

• Unlimited free and paid digital downloads

• Physical distribution (CD, vinyl)

• Live performances (concerts, festivals, clubs)

• One (1) official music video

• Unlimited promotional use

• Inclusion in EPs and albums

• Unlimited radio broadcasts

7. Usage Limits

Under this Premium License, the New Song is permitted:

• Unlimited monetized audio streams

• Unlimited monetized video streams

• Unlimited downloads

• Unlimited free distribution

No upgrade is required unless otherwise stated.

8. Publishing & Royalties

• Publishing is split 50% Lucash Beats / 50% Licensee

• Lucash Beats retains 50% of the writer’s and publisher’s share

• No additional royalties are owed beyond this split

If registering with a Performing Rights Organization (PRO), Lucash Beats must be correctly credited.

9. Credit

Where credits are displayed, the New Song must include:

Produced by Lucash Beats

Failure to credit must be corrected upon notice.

10. Content ID & Distribution Policy

Because this is a non-exclusive license, the Licensee is strictly prohibited from registering the Beat or New Song with:

• YouTube Content ID

• Distributor fingerprinting systems

• Any automated copyright identification service

Violation may result in immediate license termination without refund.

11. Restrictions

The Licensee may NOT:

• Resell or sublicense the Beat or stems

• Distribute the Beat as an instrumental

• Use the Beat in more than one song

• Use the Beat for films, TV, ads, games, or apps without written permission

• Claim ownership of the Beat

• Allow third parties to exploit the Beat outside this Agreement

12. License Term

This license is valid for ten (10) years from the date of purchase, unless terminated for breach.

13. Termination

Lucash Beats may terminate this Agreement if the Licensee breaches any term and fails to cure the breach within five (5) business days of written notice.

Upon termination:

• All use of the New Song must cease

• The New Song must be removed from all platforms

14. Refund Policy

All sales are final and non-refundable due to the digital nature of the product.

Refunds will not be issued for:

• Creative dissatisfaction

• Style or tempo mismatch

• Failure to read license terms

15. No Warranties

The Beat is provided “as is.”
Lucash Beats makes no guarantees regarding commercial success, chart performance, or platform approval.

16. Limitation of Liability

Lucash Beats shall not be liable for any indirect, incidental, or consequential damages arising from use of the Beat.

17. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of Indian courts.

18. Acceptance

Payment, download, or use of the Beat constitutes full acceptance of this Agreement.
